By accessing or using the Site or Services, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site and Services immediately. 

Where you access specific Services under a separate signed agreement, order form, statement of work, or subscription agreement (a “Services Agreement”), the terms of that Services Agreement will govern in the event of a conflict with these Terms. 

1. Eligibility 

By using the Site or Services, you represent that:

Acxelin Agentix provides AI-driven solutions, automation tools, enterprise software, consulting, and managed technology services designed to support business operations. Specific features, deliverables, service levels, and pricing for engaged Services are set out in the applicable Services Agreement, proposal, or order form. 

We reserve the right to modify, suspend, or discontinue any aspect of the Site or Services at any time, with or without notice, except where otherwise required under an active Services Agreement. 

3. Account Registration and Security 

Certain areas of the Site or Services may require account registration. You agree to: 

• Provide accurate, current, and complete information 

• Maintain the confidentiality of your login credentials 

• Promptly notify us of any unauthorized use of your account 

• Accept responsibility for all activities conducted under your account 

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk. 

4. Acceptable Use

5. Intellectual Property Rights 

5.1 Our Intellectual Property 

The Site, Services, and all related content, including but not limited to software, AI models, algorithms, workflows, text, graphics, logos, trademarks, and documentation – are the property of Acxelin Agentix or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you ownership of any such intellectual property. 

5.2 Limited License 

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and, where applicable, the Services for their intended business purposes. 

5.3 Client Content and Deliverables 

Ownership of deliverables, custom-developed automation workflows, configurations, or outputs generated specifically for a client under a Services Agreement will be governed by the terms of that agreement. In the absence of a specific agreement, Acxelin Agentix retains ownership of its underlying tools, frameworks, methodologies, and pre-existing intellectual property, while granting the client a license to use agreed deliverables for their internal business purposes. 

5.4 Feedback 

If you provide suggestions, ideas, or feedback regarding our Site or Services, you grant us a perpetual, royalty-free, worldwide license to use such feedback without restriction or compensation. 

6. Third-Party Services and Content 

The Site or Services may integrate with, link to, or rely upon third-party platforms, data sources, or AI model providers. We do not control and are not responsible for the availability, accuracy, or practices of such third parties. Your use of third-party services is subject to their respective terms and policies. 

7. AI and Automation Disclaimers 

Given the nature of AI-driven and automated technologies, you acknowledge and agree that: 

• AI-generated outputs may contain inaccuracies, errors, or unexpected results and should be reviewed before reliance in critical business decisions 

• Automation workflows depend on the accuracy and completeness of input data and third-party system integrations 

• We do not guarantee specific outcomes, business results, or performance metrics from the use of AI or automation tools, except as expressly stated in a Services Agreement 

• You remain responsible for reviewing, validating, and approving any AI-assisted outputs prior to operational or business use 

8. Fees and Payment 

Where Services are provided on a paid basis, fees, billing cycles, and payment terms will be specified in the applicable Services Agreement or invoice. Except as otherwise agreed in writing: 

• Fees are non-refundable once Services have been rendered 

• Late payments may be subject to interest or suspension of Services 

• You are responsible for applicable taxes, excluding taxes on our net income 

9. Confidentiality 

Both parties agree to protect confidential information disclosed in connection with the Services using at least the same degree of care used to protect their own confidential information, and no less than a reasonable standard of care. Detailed confidentiality obligations, including exceptions, are typically set out in the applicable Services Agreement or a separate non-disclosure agreement (NDA). 

10. General Provisions 

• Entire Agreement: These Terms, together with any applicable Services Agreement, constitute the entire agreement between you and Acxelin Agentix regarding the Site and Services. 

• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect. 

• No Waiver: Failure to enforce any right or provision will not constitute a waiver of that right or provision. 

• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. 

• Force Majeure: We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control.
